1. Interesting what will be the SEC and CSE reply will be.
2. What is the identity of FMO, where it was registered, who is the owners? FMO is just another name for me.
3. If FMO is a related party of CRL controlling party, then this is serious. if not you can continue reading.
4. Best is for them to publish full agreement to share holders.
4. What do you mean by “aggregate basis”?
5. What is the exchange rate use in conversion? Date of EXG rate use each conversion.
6. If they(FMO) want, definitely USD 3 mil worth of share will be converted at price of (NBV as at 31st march 2012 according audited accounts )29.79 by 31st July 2014. (If we use what CBSL say our ex rate will be 125.00, if it is more than this FMO will be have more shares. Most probably case is.) It will be around 12588116 shares (@125). That is around 40% of current Share holding.

Overall I don’t think this is good option for minority share holders.

So most probably they will have the control of the company if my below mention scenario not happen.

Other side of the story on this period can they issue shares to normal share holders or any other entity (eg: right’s issues. Private placement). That is why we need to know “full agreement”. If they can and if they want to issue new shares at a lower price than 29.79.

Softlogic Finance Plc is negotiating a US$ 10 million loan facility from Netherlands FMO.

The planned financing comprises $ 6 million in senior loan and $ 4 million in unsecured convertible subordinated loan.

Softlogic Finance said if this facility is extended the Company would be unique as it has a convertible subordinated facility that has an option to convert in to equity at a pre-agreed strike price based on the Net Asset Value (NAV).

The subordinated loan will form part of the Company’s Tier 2 capital requirements on disbursement that will facilitate the growth envisaged as per the three year business plan approved by the Board recently.

If the option to convert shares is exercised by FMO, the facility would further convert to Tier 1 capital.

The Company also said if extended the facility will enable Softlogic Finance to secure its first overseas funding line from a reputed international development finance institution that could be the catalyst in securing further transactions of this nature and propel Softlogic Finance to the next league.

The $ 10 million facility is subject to regulatory and shareholder approval.

Upon obtaining approval the FMO will commence its due diligence mission, credit approval and legal documentation to arrive at a decision to disburse the facility. Softlogic Finance expects this procedure to be completed within 2 or 3 months. To get shareholder approval an EGM has been convened for 26 July.

Softlogic Finance said as per FMO’s letter it is only an indicate term sheet and not intended as nor should be construed to be a commitment of an offer by FMO to arrange or provide any financing whether on the terms set out or on any other terms and that any proposal would be subject to due diligence scheduled for
August and approved by their internal credit committee and documentation in a form and substance satisfactory to them.

Sri Lanka’s Softlogic Finance Limited has received a US$ 10 million loan from Nederlandse Financierings-Maatschappu Voor ontwikkelingslanden n.v. and the money is expected to be disbursed to the company within the next 2 to 3 weeks.

In a stock market disclosure, the company announced that it has entered into two agreements with the FMO in a bid to obtain the loan.

Accordingly, the loan component consists of a US$ 6 million senior loan and a US$ 4 million unsecured convertible subordinated loan.

In a previous announcement, the company said that the subordinated loan will form part of the firm’s tier 2 capital requirements on disbursement, which will facilitate the growth envisaged as per the 3 year business plan approved by the company’s board.

Softlogic Finance in US $ 10 mn deal with FMO

Softlogic Finance has reached an agreement with the Dutch development bank FMO, for a funding facility of US $ 10 mn . The facility will enable financing of the important SME segment of the market. Softlogic Finance is one of the few non banking financial institutions in Sri Lanka to obtain foreign funding from a Development Finance Institution (DFI) which is a reflection of the stability, track record and immense growth potential of the company.

DFI’s that lend in developing markets such as Sri Lanka require local lending institutions to maintain impeccable operating standards and adopt international best practices to secure funding.

The signing ceremony for the US $ 6 mn Senior Secured Term Facility of the first phase took place in Colombo on November 30, 2012. The purpose of this senior secured term facility is to provide long term funding to boost Softlogic Finance’s lending portfolio further in a bid to meet the company’s strategic goals. The second phase, which is a Subordinated Term Facility with the option to convert to equity, will witness FMO releasing a tranche of US $ 4 mn. This facility will be used to enhance Tier 2 capital to the company and concurrently to grow the lending portfolio. The tenor period for the entire loan amount of US $ 10 mn is five years.

Striving for the growth and competitiveness of the Small and Medium Enterprise (SME) sector, Sri Lanka has often been identified as imperative in order to provide more employment, bridge regional growth disparities, and ensure that post-war growth is inclusive and widespread. Several issues continue to hamper the faster growth of the Sri Lankan SME sector; particularly the difficult access to finance. Softlogic Finance has specialist knowledge and expertise in the SME sector, and this funding line will be utilized to develop business with customers who require financial assistance, to build their businesses and improve their livelihoods.
