Piramal Glass enters deal to sell Lankan operations for Rs.13bn

  • CSE disclosure doesn’t mention whether the deal is part of the bigger deal with Blackstone Group

  • Analyst community divided over mandatory offer requirement

The delisting process really most beneficial (the delisting price is double of traded price)for shareholders.

BS paid for USD 1 billion acquire for 100% ownership Piramal Glas and automatically entitle 46.45% ownership of SL Glas. BS didn't pay a separate amount for SL Piramal Glas. as a whole they paid to USD 1 billion and India Piramal enterprises ltd allocated INR 5.166Billion(USD 70Mn) on behalf of SL Piramal Glas their no. of shares 536Mn share (56.45%). that is the reason Piramal Glas disclosed their acquired purchase consideration for 56.45%. SPA clearly shows that purchase consideration for No. of shares 536Mn. not all of the share.

Pristine Glas Pvt ltd incorporates in 06.11.2020 and appoints two directors namely, Amit Dixit and Mukesh Mehetha. both 2 directors are working in Blackstone Group-India Pvt equity. Pristine belongings to Blackstone and establish a new entity for managing GLAS business in Sri Lanka, India, and USA.

don't keep any doubt regarding GLAS. current price level so attractive for entering. I highly believed GLAS will give you more than 50% returns with the current price level. if they delist share, it will give 100% returns.

If Pristine is owned by Blackstone, why have pre conditions established for both parties to carryout before the deal and why so many determinants for the sales price. They can just do the transfer on a nominal rate

As I earlier mentioned so many things have to be disclosed. before selling Pirama Pvt ltd, they valued each separate entity and they paid USD 1Bn as a whole. before transfer business, BS needs to reveal acquired value than the nominal value. The acquisition price was given guaranteed for investors. asap they will announce a mandatory offer. I believe, 20% of shares will be acquired. separately value each entity and transfer Piramal shareholding percentage to BS. can't say clearly say, because everything is greek due to non-availability info. need to original contact conditions & terms.

another thing is, BS paid for the settlement debt component, in purchase consideration. 3rd or 4th qtr, will disappear debt component and inject to capital infuse as equity @ acquired price. will increase NAV and EPS.

Everyone seeks to BS acquired prices. they ignored the future potential value of the share. new market developments and innovative technology will so far benefit GLAS.

Since 3rd Qtr, see GLAS financial performance how so far growing.

Thanks
So in your opinion Piramal Glass (Pvt) Ltd will not be bought by BS as a single entity, the companies (business units) under Piramal Glass pvt will be bought individually by BS?
..and the BS deal has not been executed yet right?

Pristine glass pvt ltd was incorporated only last month with the purpose of acquiring glass manufacturing arm of piramal group it seems. One of only two directors in pristine glass is also a director of BS ( Amit Dixit is a Senior Managing Director, Co-Head of Asia Acquisitions, and Head of India for Blackstone Private Equity. ) so what is obvious is only 56 % shares of piramal ceylon is to be purchased this week or the next at value mentioned in the CSE circular. I am more optimistic that this purchase will take placs via CSE triggering
a mandatory offer. different opinions required

acquired price is still questionable at this moment? have not revealed important things earlier discloser. an original contract can include terms & conditions. without considering facts & figures we cant pre-conclude regarding acquisition price. anyway, the acquisition price more than the current traded market. definitely, the acquisition price most benefited the existing shareholders. As soon as, the pending announcement will be coming. be hope, everything is going well. if the mandatory offer is coming, definitely they will give highest offer.

considering the potentially wide range of improvements, a current level still so attractive. majority of shares will be acquired by Pristine. the name will be changed. forecasting the future in GLAS business, the highest value of the return will deliver and maximize the wealth of shareholders. don't miss the third chance of getting the lowest side. this may be, last chance.

Reasons behind to hold GLASS,

Blackstone is not a glass industry business, it is a investment company. It usually holds investments from few years and then sell it with great profit.

They will increase the dividend payout since they are not going to hold it forever.

GLASs has already increased production lines to address export markets and special need products as glass vials for vaccine and GLASS is one of the few players capable of producing what world is in need urgently right now.

They might give a mandatory offer, or buy back shares later to delist, because then it is easy for them to manage, they dont have to get involved and abide by the rules of SEC Sri Lanka when they can spend about 30-40 Million more and get rid of that burden completely. It will make the GLASS more marketable asset for blackstone.

Despite whatever the valuation number is going to be this can go upto 15+  when sales increase and dividend payout increases.
9.30-9.50 is a very attractive entry point for an investor. Dividend payment will come in JUNE. that could easily be 1.00 rupee.
