This majority few shareholders in a cimpany could defeat the dividend is misleading.
However much shares a share holder is holding each  shareholder has one vote.
As was evident in AiA insurance delisting voting , all other shareholders votes defeared majority sharejolder's ( who held more 90% of shares)decisiin decisin to delist in an AGM.
All other share holders should vote against and defeat at AGM , majority sharehoders desire to not to give duvidends .

For all those who made comments after my comment above.

Don't feel sad , minority shareholders being larger in numbers than four or five major shareholders, minority share holders can defeat the move to stop this dividends.
However much shares one is holding , each shareholder has one vote.

in AIA delisting move by major shareholder was defeated by minor shareholders votes in an AGM.

CSE's allowing such a misleading notice by Board of directors is wrong

Do you understand the meanings of ‘Majority’ and ‘Minority’?

Sorry about you.

Do YOUU understand the meaning of "Majority & Minority"?

Holding Majority stake/shares in a company and Majority shareholders (hence votes at an AGM)  have two different meanings.

in short, the five/ six major share holders have five/six votes.  If one holds "one share"  that person has "one Vote". A person holding "Million shares" also has "one Vote".

Hope you understood.

In an AGM deciding factor is "number of Votes"

Share price will go down by 10% but it won't matter long time if they invest this money properly.. they can acquire property or something to increase NAV.. so it will make company strong.. in time like this companies should concentrate more on their business rather than paying shareholders.. but it is my personal believe. I can be wrong

Sorry, I would not write to this forum again.

I do not want to mislead anybody.

But the facts remain facts.

If you do not believe, check how AIA delisting was decided between majority shareholder and minorty shareholders at AGM

I was there in person to vote as a minority shareholder.

Yes i joined here last week, but my experience dates back to 80s when I started trading after buying 400 pugoda textiles shares at its IPO.

Good Luck!

@Rizna, They own 82.48%. i'm also agree with @Equityinvestor. Don't get upset you started good discussion.

Guys In legal If own more than 50% did they need shareholder approval? I think no need already they have more than 50% vote. As i understand,
if one person or company own 100 voting shares he has 100 vote not 1 vote.
Guys @Teller,@Quibit,@ThilinaM  Please correct me if i'm wrong...

Items on the agenda at an AGM are routinely passed by a show of hands for convenience. However any major shareholder can demand a poll in which case it would be the number of shares held which will determine the outcome.

In the case of AIA (if I am not mistaken) it was initially rejected on a show of hands and then passed when a poll was requested.

MAJORITY RULE AND MINORITY PROTECTION

As per Companies Act No. 07 pf 2007, Generally a company operates on the basis of Majority Rule. However, if minority shareholders idea always conflicts with the majority idea and they do not have a say in the Company, they are free to sell their shares and exit the company. The Act has provided certain protections to minority shareholders in such situations to exit the company. One such protection is identified as “Minority Buyout”. (Refer section 90 to 101 Companies Act No. 07 pf 2007).

Hi fellows, hope all is well with you all. Did anyone see the memo stating that major shareholder's would reject dividend payment that has been proposed by the BoD this time? Has this kind of thing happened in the past? Isn't this bad trend settling? Your thoughts people?

Yes, the dividend was voted against. I think the shareholders are trying to retain money to help the company run smoothly. My personal view is with covid the WFH rate will increase and their occupancy rate will decrease within this year. Once the new normal is fully adopted or when a vaccination is proven then this will rock back to where it was.
