The appointments came after two independent directors decided not to seek re-election at Hayleys' annual general meeting held on June 29 in the wake of a bid for full control of the group by its single largest shareholder, Dhammika Perera.
The new Hayleys independent non-executive directors are Lalin Tusith Samarawickrama, Ranil Prasad Pathirana and M D S Goonatilleke, a stock exchange filing said.
Samarawickrama, an internationally qualified hotelier, now serves as managing director of Amaya Leisure and is also a director of Royal Ceramics, which is controlled by Dhammika Perera.
Pathirana serves as group finance director of the Hirdaramani group.
Goonatilleke currently serves as group executive director of the DSL group. He is also a director of Pan Asia, Vallibel Finance and Royal Ceramics which are controlled by Perera.
Last week, A M Senaratna, an independent non-executive director of Hayleys, whose re-election was scheduled for the AGM on June 29, told the board of directors he was not standing for re-election.
In April, independent director Trevine Jayasekera, who was to come up for retirement by rotation at the AGM, told the board he was not standing for re-election.
