LOCH is formed taking out LOLC Holding's own share CLC 98%, LOFC 45% and NIFL 55.5%. 1B debenture issue money is to buy and pay 55.5% NIFL shares. So only LOCH will benefit and LOFC and CLC will be down to their original values. Beware of those who are promoting CLC and LOFC.

LOLC Holding PLC’s equity stake in LOLC Development Finance (“NIFL”) within 1 Months from the Date of allotment. As at the date of the prospectus LOLC Holdings PLC has a 55.55% stake in NIFL.

The purchase price for the share transfer of NIFL would be the latest market price of NIFL shares as per the requirement of SEC in its in principle approval. The share transfer shall be executed at the last traded price at the point of the share transfer.

Thanks for your valuable explanation. my view is LOLC will earn More than 15bn capital gain on NIFL share transfer process. ( 73mn NIFL shares will transfer to LOCH by LOLC on current market value of NFIL) Therefore if you want to invest in LOLC group, don't touch LOFC, NIFL or CLC. better to invest in LOFC. please note that this is not a promotion. your are the advisor of your investment and not to others.

I think you forgot the vital information.pls see CLC stake in NIFL its 44%.anyway its your opinion.we have different thoughts on it.

With the listing of LOCH many expect that CLC and LOFC counters will be appreciated in multiples.
According to the Technical s ,  both the counters flagged as “ BUY “ .
 
Best option :
Due to the high illiquidity of CLC , ( 99% own by the parent) can expect a very high demand for the counter in next week onwards making it the most sought after share in CSE.
 
Also understood that all shares in the public float of CLC  had been already traded above Rs 30/= in last ten days  , making current prices very attractive to make a re-entry.




KEY points from above ,
 
Point 1)  LOLC CEYLON is coming ..
Point 2) LOLC ASIA will be listed in Singapore soon ..
Point 3) Issued Debenture is as part payment of  NIFL transfer to LOCH …
 
Now the NIFL is trading around Rs 500/= levels after hitting Rs 700/= recently and in a consolidation phase for fast few weeks .   ( NIFL current price may be due the illiquidity or may be on expected prospects from LOLC ASIA ‘s  operation in near future or may be on some other reason  to be disclosed later  )
 
CLC is the second largest shareholder of the NIFL holding almost 50% stake of the company .




My logic here is ….  If CLC holds 50% of the NIFL …. Isn’t the Price of  CLC should reflect that ownership ratio in CLC  current price …?????




 
If so isn’t the market price of CLC should be always half the price of NIFL  …???????

No smoke without fire. Past few days we saw the smoke , will wait till the fire appears with crackers . I think the LOLC group will take the index up to that magical level even it’s not ethical ,anyway we have to live with this bad truth. This is the way , CSE and the country are running at the moment.

LOLC Ceylon Holdings Ltd.’s (LOCH) Rs. 1 billion listed debenture issue has been oversubscribed and closed on Wednesday, the official opening day.

LOCH issued 10 million Senior Listed Redeemable Rated Guaranteed two-year debentures of Rs. 100 each.

Secretaries to the issue SSP Corporate Services stated the issue received applications for over Rs. 1 billion and was closed on Wednesday evening as per the prospectus. It said the basis of allotment will be notified later.

The debentures offer 9.50% per annum payable annually. Minimum subscription was Rs. 10,000. Managers to the issue was Capital Alliance Partners Ltd.

LOCH has been created by LOLC to be the vehicle for large scale foreign investors to acquire minority stake in the finance company the parent owns.

The funds raised through the Debenture Issue are to partly finance the acquisition of LOLC Holding’s 55.55% equity stake in LOLC Development Finance (NIFL).

Post-listing of LOCH, the shares owned by LOLC in LOLC Finance PLC (LOFC) amounting to 44.79%, and shares owned in Commercial Leasing and Finance PLC (CLC) amounting to 98.92% will be transferred to LOCH, subject to receipt of relevant regulatory approvals (as applicable). In principle, approval from SEC and No Objection from Central Bank have been obtained for the share transfers of LOLC.

According to the available information,  there will be a IPO in dollar terms .

NIFL share transfer will be done before 29th OCTOBER .

CLC share transfer will come before 15th NOVEMBER.

Thereafter will be a LOFC transfer.

Its an internal restructuring. However prices will defenetely adjusted. Substantial quantity of NIFL is owned by CLC. so can expect a huge price gain in CLC.

LOLC සමූහය සිය මීළග මෙහෙයුම් ව්‍යාප්ත කිරිම ලෙස මධ්‍යම ආසියාව වෙත සහ නැගෙනහිර අප්‍රිකාව වෙත සිදු කරන ආයෝජනයන් සම්බන්ධයෙන් සිදු කළ අනාවරණයේදී මෙම කරුණු සඳහන් කර තිබේ.
ඒ අනුව, දැනට සමාගම මගින් හඳුනාගෙන ඇති ආසියානු, අප්‍රිකානු සහ මධ්‍යම ආසියානු කලාපීය මෙහෙයුම් ව්‍යාප්තිය සිය ගෝලීය ව්‍යාප්තියේ උපායමාර්ගික අවස්ථාවක් බවත්, දැනටමත් එම සමූහය මගින් අත්හදා බලා ඇති සහ පරීක්ෂා කර බලා ඇති ක්ෂුද්‍ර සුළු හා මධ්‍ය පරිමාණ (MSME) ව්‍යාපාර ආකෘතිය මේ සඳහා දායක වෙනු ඇති බවත් සමාගම වැඩිදුරටත් පවසා සිටියි.
ශ්‍රී ලංකාව තුළ ක්‍රියාත්මක කළ සාර්ථක ක්ෂුද්‍ර මූල්‍ය සහ සුළු හා මධ්‍ය පරිමාණ ආකෘතියෙන් අනතුරුව, LOLC සමූහය ගෝලීය ක්ෂූද්‍ර, සුළු හා මධ්‍ය පරිමාණ ක්‍රීඩා පිටිය වෙත අවතීර්ණ වූයේ 2007 වසරේදීය.
එහිදී එම සමාගම කාම්බෝජියාවේ PRASAC නම් ක්ෂුද්‍රමූල්‍ය සමාගමේ 18% ක කොටස් ප්‍රතිශතයක් ඩොලර් මිලියන 0.5කට මිලදී ගැනීම සිදු කෙරිණි. ඉන් වසර නවයකට පසුව සමාගම වෙත PRASAC සමාගමේ 70%ක කොටස් හිමිකාරීත්වයක් අත්පත් කරගැනීමටද එම සමුහයට හැකි විය.

අනතුරුව එම සමූහය LOLC Myanmar Microfinance Ltd ආරම්භ කරමින් මියන්මාරය තුළ සිය මෙහෙයුම් ඇරඹීය. වසර හයකට පසුව එය මියන්මාරයේ සිව්වැනි විශාලතම ක්ෂුද්‍ර මූල්‍ය සපයන්නා බවට පත්ව තිබේ.
එසේම ඉන් අනතුරුව LOLC සමූහය මගින් සිදුකළ ඉන්දුනීසියානු, පිලිපීන සහ පාකිස්තාන ක්ෂුද්‍රමූල්‍ය ආයෝජනද අද වනවිට වාර්තාගත ප්‍රතිඵල සටහන් කරමින් සිටියි. එසේම එම රටවල වඩාත් ශක්තිමත් ක්ෂුද්‍ර සුළුහා මධ්‍ය පරිමාණ ව්‍යාපාර කළඹ සහ වත්කම් ගොඩනැගීමටත් සමාගම සමත්ව ඇත.
ඒ අනුව මෙම සාර්ථකත්වයත් සමගින්ම අප්‍රිකාව වෙත පිවිසුනු LOLC සමූහය අද වනවිට නයිජීරියාව සහ සැම්බියාව තුළ සිය මෙහෙයුම් සාර්ථකව පවත්වාගෙන යයි. එහි ඉදිරි පියවරක් ලෙස නැගෙනහිර අප්‍රිකාවේ මලාවි සහ ටැන්සානියාව වෙත ඉදිරියේදී සිය ආයෝජන සිදුකිරීමට සමූහය මෙලෙස සැලසුම් කර තිබේ.
මීට අමතරව ඉදිරියේදී ඉන්දියානු උප මහාද්වීපයේ රාජ්‍යයන් කිහිපයක් තුළද සිය ආයෝජන සිදු කිරිමට සැලසුම් කර තිබෙන බවත්, ඒ සඳහා වඩාත් සුදුසු රාජ්‍යයන් දැනටමත් හඳුනාගෙන ඇති බවත් සමූහය වැඩිදුරටත් පවසා සිටියි. මධ්‍යම ආසියාවේ රටක් ලෙස ටජිකිස්තානය ආයෝජනය සඳහා තෝරා ගෙන ඇත්තේ ඒ අනුවයි.
මෙලෙස LOLC සමූහයේ ගෝලීය ව්‍යාප්තිය පිළිබඳව අදහස් දක්වා ඇති එහි උප සභාපති ඉෂාර නානායක්කාර මහතා, “අපගේ ක්ෂුද්‍ර මූල්‍ය ආකෘතිය ගෝලීයව ව්‍යාප්ත කිරීම යනු අපගේ වාණිජ අභිලාශයන් සාක්ෂාත් කරගැනීමක් පමණක්ම නොවෙයි. ඒ අතරතුරදීම සමාජ පිරමීඩයේ පහළින්ම සිටින, සාම්ප්‍රදායික මූල්‍ය පද්ධතියට නොපෙනෙන මෙම ප්‍රජාවන් වෙත අවශ්‍ය ප්‍රතිලාභ තිරසාරව සහ වඩාත් සමාජ වගකීම් සහගත ආකාරයෙන් ලබාදීමත් එහි අරමුණක්.” යනුවෙන් පවසා තිබේ.
“ශ්‍රී ලංකාව, කාම්බොජියාව සහ මියන්මාරය තුළ අපි නිර්මාණය කර තිබෙන මෙම බලපෑම අපගේ ව්‍යාපාර ආදර්ශය කොහොමද ක්‍රියාත්මක වෙන්නේ කියන දේ පෙන්නුම් කරන බවට මම විශ්වාස කරනවා. මූල්‍ය අන්තර්ග්‍රහණය, කාන්තාවන් බලගැන්වීම සහ සමාජ ආර්ථික විෂමතා අවම කිරීම සහ එහි ප්‍රතිලාභ ලෙස ආර්ථික වෙනසක් ඇති කිරීම යන කාරණා හරහා සමාජයේ සිටින පිරිසගේ අවශ්‍යතාවයන් වෙත අපි කොහොමද ප්‍රතිචාර දක්වන්නේ කොහොමද කියන දේ පෙනෙනවා.” ඔහු සඳහන් කරයි.
