As I said in another thread; There is no cure for stupidity, so the SEC or anyone else can't do anything about a bunch of fools buying a share at 14 when it's worth only 6.

Yes.
It is very much likely trade below 14 at secondory market.
At the same time I feel its a good share to have in our portfolios in MT/ST.

Several top blue chips including John Keells Holdings PLC, Ceylon Investments PLC and Softlogic Holdings Limited, bought into Expolanka Holdings Ltd. in September last year paying a price of Rs.6 per share offered at the company’s IPO which opens on May 12 to the public at Rs.14 per share.

However, analysts said that these were not new shares, as in the case of 172 million shares to be issued at the Expolanka IPO to raise slightly over Rs.2.4 billion for the company.

"The private placement was a sell down (by the directors who sold some of their own shares) and not an issue of new shares by the company," one well informed analyst explained. "The pricing for the private sale was a decision of the sellers and does not affect the valuation of the company."

He said that Expolanka restructured its operations prior to the forthcoming IPO to enhance shareholder value by divesting some loss making businesses within the group.

These loss-makers were purchased by members of the Kassim family which controls Expolanka Holdings and they used the proceeds of the sell down of their Expolanka shares to purchase the loss making companies from the parent. Thus much of the sales proceeds of their Expolanka shares went back to Expolanka and help restructure its balance sheet.

At a meeting last week between Expolanka’s directors and management, the investing community and brokers, Mr. Khalil Masood, a former Chairman of Pakistan’s SEC who lives here and runs the brokerage, SKM Lanka of which he owns 25%, asked whether the big purchasers at the six-rupee price would give a commitment that they would hold the shares for at least a three-year period.

"That is a tall order" replied Mr. Osman Kassim, Chairman of Expolanka who indicated that it was not possible for them to give such an undertaking on behalf of other shareholders.

However, Mr. Krishan Balendra, President of John Keells Capital, lead managers and financial advisors to the issue said that it was likely that the John Keells group would participate in the IPO.

Mr. Ashok Pathirage, Chairman of Softlogic Holdings, said that his group was bullish about Sri Lanka and about Expolanka and said that they too would participate in the IPO.

Analysts said that it was likely that some other big names like Carsons would also be participating in the issue.

The buyers at the six-rupee price in September 2010 included JKH (83.3 million shares), Ceylon Investments (of the Carsons Group) (41.6 million), Lanka Strategic Investments (16.7 million) Softlogic (16.5 million), Falcon Trading (8.3 million), Times Garments (8.3 million) and some other clients of John Keells who got allotments.

In September, five directors of Expolanka, Messrs. Osman Kassim, Sattar Kassim, Shafik Kassim, Farook Kassim and Hanif Yousoof (CEO/Director) of the group sold down 61.3 million shares each of their holdings at the Rs.6 price.

However, all of them own approximately 283.8 million shares each of the company prior to the IPO.

Well informed sources said that at the time the Rs.6 sell down price was determined, the only final figures available were the results of the company’s performance in the financial year ended March 31, 2010 when an after-tax profit of Rs.591 million was earned on revenue of Rs.23.7 billion.

But in the nine months ended December 31, 2010 a consolidated pre-tax profit of Rs.1.9 billion had been posted following the divesting of the loss making companies.

"The proceeds of the private sell down were required for the restructuring. The company has since been restructured and has independent directors and some large institutional shareholders who have raised its profile," an analyst said.

He said that the IPO pricing (of Rs.14) is based on market multiples, historic performance and forecasts.

"For the IPO pricing, the company had the benefit of the actual nine months performance to December 31, 2010 which is significantly better than what was achieved for the full year to March 31, 2010," he said.

Analysts also made the point that Expolanka, with a portfolio of 46 companies within the group is doing business in a number of countries in the region including Sri Lanka, India, Pakistan, Bangladesh, Vietnam, Indonesia, Dubai (UAE), Kenya, Mauritius, Madagascar and South Africa.

"This would mean that any investor in Expolanka will have exposure to the economies of several countries other than Sri Lanka," the analyst said.

Most of those present at last week’s meeting when the company showcased itself were confident that the issue would be over-subscribed and would close on the opening day.

The group’s biggest business is transportation including air freight, sea freight, combined sea and air, freight consolidation etc. It is also into a variety of other businesses including tea, transportation, waste paper, bio extracts, IT, BPO and a host of others.

The Expolanka board has three Independent Directors outside the Kassim family – Dr. S. Selliah, Harsha Amarasekera and Sanjay Kulatunga.

How a company would usually value their shares is they would look at their one year forward earnings, decide on a multiple based on the market or industry average an fixed their share price accordingly.

Assuming Expo has based their value on forward earnings 2012 it is only common sense that the share value be higher on their IPO. this is simply due to the funds of the IPO flowing back into the company as mentioned in their prospectus for debt retirement (saving in finance cost) new project and additional working capital. this will boost the companies performance for the year 2012. If like you mention the private placement was a sell down of shares the proceedings would have not come into the company and there fore the boost the company would get during the IPO must have not been there.

to add to the disparity

Also generally there is a percentage discount between a usual private placement price and IPO price as private companies are not governed by the corporate governance regulations as public companies. due to this investors associate a discount on private placement price due to the additional risk.

Price change is justifiable..

Specially looking at todays Island article

Was this related party purchase disclosed in Prospectus? Expo Aviation and Denshun were sold, with Expo booking a profit. But buyers seem to be related.

Its quite simple.. first its apparent all stock brokers except for Capital Trust are promoting this issue..

40% of the allocation is going to retail investors. 10% to unit trust and 15% to employees and the balance 35% to the rest and big players.

what ever is not subscribed by the retail category will spill over to the Other category giving more allocation to the Big guys.

According to all stock broker reports the issue is fairly valued.

The only problem with this IPO is the question of the Private placement investors dumping the share. According to the Island today JKH CARSONS and SOFTLOGIC all who are the major investors in the Private placement will be investing further in the IPO.

Hey guys i v been following this site for some time and i have actually learn t a lot from it. And especially Regarding this Expo lanka IPO*. I still have the following issues with this IPO.

Firstly Is there any guarantee that these so called Major players wont dump there shares. What if they change there mind... JKH stock brokers can afford to recommend this share as there group would clearly benefit with such a huge captial gain. (more than 100 percent is quite possible) Also apart from them Other shareholders* own 130.5 million shares. thats almost 75 percent of these IPO shares what would happen if they Dump*. Isnt there a lot of high uncertainty and risk.

Also.. Why Would i want to Invest in a company with Such double standards. They issue share s privately at 6 rupees about 6 months ago.. and give it to the public at 14... what exactly has happened for the price to increase by more than 100 percent. I really dont care if the share is fairly valued at 14.. the fact is some of there elite friends got the same share at 6 a couple of months back. Do they take the public as fools to purchase these very shares at 14 a couple of months later.

This is my opinion if i m wrong please do correct me.

Authorities should address these issues prior to a public share issue and safeguard the investors against such tactics by corporates to attract investors. It is CSE and SEC responsibility to safeguard the investors the same manner Central Bank does for the depositors.

Independent directors should be more than just a title. Each independent director acts irresponsibly should be restrained from holding such esteemed positions in the future.

Personnelly i feel investors in this forum should think about the issues in this forum logically than get carried away with what every one is saying..

Okay let me explain it to you guys like this.. we first have to decide whether the share is in fact worth 14 rupees.. looking at the multiples it is valued at 14 times forward earnings.. with the industry currently trading above 18 times we can safely assume that it is below current market levels and fairly valued for an IPO.. hence the buy recommendations from all the stock brokers..

That brings us to the question if the 14 rupees is fairly valued then what is 6 rupees.. logic dictates that it is undervalued..

now coming to the unethicality of original shareholders.... they have sold 300 million shares worth 14 rupees for 6 rupees from which they lost 2.4 BILLION rupees and please note that the shareholders lost 2.4 BILLION from their own pocket and not company funds as it was a sell done. If it was company funds being lost then yes its unethical but this is a sell down..

I am sure no one will willingly miss out on 2.4 billion unless they have a solid reason to..

Its the 5th largest freight forwarder in India... less than 14Rs. r u kidding me... if u r not interested.. then too bad, u r losing out on an awsum oppurtunity. Its profits went up by more than 150% after that 6 Rs transfer while the IPO price only increased by 133%. Some of those investors might sell there shares but most of them r long term investors & there will be many other long-term investors participating in this IPO. U'll C

Did Expolanka Holdings sell Expo Aviation to a related party?

A lot has been said of the discrimination coming from the Rs6/- private deal of Expo in December 2010 and the Rs14/- public IPO just five months later. Were the promoter-Directors misled by advisors John Keells on the Rs6/- deal (where Keells was one of biggest investors), or are investors being taken advantage of at Rs14/?

Much less has been said of the sale of two Expo group companies just before the IPO, Expo Aviation and Denshun.

Little has been said on this sale in the Expo IPO Prospectus, except for capital gains of Rs.313 m, but extracts from press articles below hint that Expo Aviation and Denshun have been sold to related parties.

No detailed disclosure seems to have been made in Prospectus on this alleged related party sale.

What assurance do investors have that these alleged related party sales were done on an arms-length basis on commercial terms, and that minority shareholders of Expo have not been disadvantaged? Shouldn't the SEC and CSE look into this lack of disclosure?

He said that Expolanka restructured its operations prior to the forthcoming IPO to enhance shareholder value by divesting some loss making businesses within the group.

These loss-makers were purchased by members of the Kassim family which controls Expolanka Holdings and they used the proceeds of the sell down of their Expolanka shares to purchase the loss making companies from the parent.

The aviation business has been spun off from the parent company, Expolanka Holdings, which is to raise 2.4 billion rupees by issuing 172 million ordinary voting shares at 14 rupees each in an initial public offer on May 12.

"The reason we divested Expo Aviation from Expolanka Holdings is that it's a high-risk profile company and we did not want to expose Expolanka Holdings shareholders to the potential high-risk environment of aviation," a group spokesman said.
