CAL made simple cal. for share valuation. it is not simple calculation. 1st we check SL GLAS EV. Here, they ignore equity capital + reserve. share transaction 536Mn. not 950Mn. don't trust this chit chat Calculation.

As per Q2 financials, Net Debt + Working capital=
3,306,220,000
Acquisition enterprise value rs =12,966,660,000
So the market value rs= 9,660,440,000
Number of acquired shares =536331880
Quoted value for a share= 18.0 rs

It's not 24 rs as you mentioned. Since acquisition of 30% or more shares, There will be a mandatory offer in which, the buyer has to offer the highest price paid during last 12 months. Needs to clarify whether this constitutes to the highest traded price of the share during last 12 months or the highest price paid by the party for a share during last 12 months. I believe it will be the highest traded price. 

This scenario is when we get a mandatory offer.

PIRAMAL GLASS PRIVATE LIMITED (India) is selling their shares 536,331,880 (56.45% of the total issue) shares.  No cash inflow or outflow to PIRAMAL GLASS CEYLON PLC.

Buyer has valued their purchase:
Number of Shares: 536,331,880
Value Offer: LKR 13,071,013,200 (INR  5,166,000,000 @ 2.5302)
Value Per Share: LKR  24.37

It does not guarantee that PIRAMAL GLASS CEYLON PLC shares will buy back balance shares at the given price.  It is only a premium value given by the new shareholder.  The future share price will decide based on its performance.

Yes, it's the highest traded price during last 12 months back dating from the date of Mandatory offer. I'm still in the belief that it won't hit above today's high in coming days. But with future performances, of course any company let alone GLAS can trade at higher prices. just to tell you that it won't be no where close to the prices mentioned here earlier in the thread above 20 rs.

Wait for the next QR and see where this is going. I only value with the performances of the company and I can't foresee the future. Present price represent a fair value for GLAS based on last QR. I think I shared with you my honest price for GLAS earlier. If future performances are greater, then yes, this could advance further. there are some members who could foresee future here. you can get an idea from them about what the future holds for GLAS!!! The news article you quoted says otherwise. What to trust is an issue. What ever said and done, this transaction means nothing to local retailers. Mandatory offer when takes place will affect the local retailers and we can speak of that when that happens.

According to my calculation and available info, the deal will be done between Rs.15 to Rs.16 per share. This was arrived based on available info. So believe, there is a chance. The price will be moved towards to Rs.15. But, any good investor should have a patience until Rs.12 per share in CSE as a minimum selling price in short term.

In the beginning, they will buy back some of the shares for keeping the majority holding %. if they are going delist from the market, they must give valuable consideration which accepted by all shareholders. I remembered JINS delist CSEC from the market and paid 2.5 times into NAV.

i am not satisfied CAL simple share value calculation. ignore some important areas. I never heard this kind of valuation. anyway, RESEARCH firm same times change their TPs. next month they revised TPs. today, I again buy some of the shares at different prices.

better to keep and wait and see next month impressive financial. may be,  dividends also will announce.

Piramal Glass Ceylon PLC's largest shareholder Piramal Glass Pvt Ltd has entered into a share purchase agreement to sell its entire stake of 56.45% in the company to Pristine Glass Pvt Ltd.

In a Stock Exchange filing, Piramal Glass Ceylon PLC stated that the Board of Directors of the company has entered into a sale and purchase agreement with, inter alia Piramal Glass Pvt Ltd (seller) and Pristine Glass Pvt Ltd ( purchaser), a company duly incorporated under the laws of India for the sale and purchase of 536,331,880 shares (56.45%) being the entire equity held by the seller in the company.

The consideration for the transaction is to be calculated based on the enterprise value of the company of Indian Rupees 5.166 billion , the indebtedness of the company, the net debt of the company and a working capital adjustment to be computed, as agreed, as of the date of transfer of the glass manufacturing business of the seller in India.
